     Announcement on the Resignation of a Director

 The Company and all members of its Board of Directors confirm that all the
 information disclosed herein is true, accurate, and complete with no false or
 misleading statement or material omission.



On December 9, 2018, the Board of Directors of the Company (hereinafter referred to
as the “Board”) received notice from Mr. Frank Ning (Ning Gaoning) informing the
Company/Board of his resignation. While continuing to serve on the Board of Directors
of ADAMA Agricultural Solutions Ltd., and being involved in the group’s progress,
due to the group’s working arrangement, Mr. Frank Ning no longer serves on the Board
of the Company. According to the Company Law of China, and the Articles of
Association of the Company, the resignation of Mr. Frank Ning will not result in the
directors less than the quorum, and will not affect the normal operation of the Board of
Directors. His resignation came into effect on the date the Board received the
resignation letter. Mr. Frank Ning has no disagreement with the Board. His resignation
does not involve any circumstances that should be brought to the attention of the
shareholders or the creditors of the Company.

The Board sincerely appreciates the contribution Mr. Frank Ning made to the Company
during his tenure.
