      Today,the board of directors of Wafangdian Bearing Company
Limited(hereafter”the company”)reveice a resign report from the indepandent
diretor Mr.Wan Shouyi.
      Because of personal work arrangement,Mr.Wan Shouyi apply to resign from
the board and Special committee,and he will not hold any position in the
company.His resign will lead to the number of independent directors less than 1/3
of the members of the board of directors,thus his resign will take effect while the
new independent diretor was hold by shareholers meeting.During this
period,Mr.Wan Shouyi shall continue to perform duty in line with the relavent law
and rules.
      The board is by-electing independent director in line with relavent rules .
      Mr.Wan Shouyi didn’t buy any shares of the company and during the period
Mr.Wan Shouyi served as independent director, he was diligence, independent
and impartiality, played a positive role for the normal operation and healthy
development, the board of directors of the company to express heartfelt thanks to
Mr. Mr.Wan Shouyi for his work for the company.
