Announcement of Equity Structure Change of the first largest shareholder

      The Company, all the members of the Board of Directors and top management hereby guarantee
the truth, accuracy and completeness of the information disclosure, no any false records, misleading
statements and major missing contents.



     Today, the company received the largest shareholder - Wafangdian Bearing Group Co., Ltd.

(hereinafter referred to as "WBGC") notification: due to:Liaoning Province Industrial (Venture

Capital) Investment Fund Management Center (Hereinafter referred to as the "Management

Center") invested RMB 50 million to the Company, equivalent to the registered capital of RMB

10.661 million Yuan,and the Dalian equipment capital increase of RMB 342.091 million Yuan,

equivalent to the registered capital of RMB 64.4239 million, The company registered capital

increased by 75.0849 million. Wazhou Group equity changes as follows;

     1.WBGC's shareholding structure as the original: the registered capital decreased to

395.1725 million Yuan, of which Dalian equipment was subscribed to RMB 360 million, accounting

for 91.1% of the registered capital; Zhongcheng Company subscribed 14.4828 million Yuan,

accounting for 3.66% of the registered capital; Investment subscribed 20.6879 million Yuan,

accounting for 5.24% of registered capital.(Details can be found in announcement on August 26 )

     2.The shareholding structure of WBGC changed to: the registered capital decreased to

470.2574 million Yuan, of which Dalian equipment was subscribed to RMB 424.4239 million,

accounting for 90.25% of the registered capital; Zhongcheng Company subscribed 14.4828 million

Yuan, accounting for 3.08% of the registered capital; Investment subscribed 20.6879 million Yuan,

accounting for 4.40% of registered capital. Management center subscribed 10.6610 million Yuan,

accounting for 2.27% of registered capital.
