I. Calling of the Board Meeting
1. The notice on holding of the Board Meeting was served by written form on
November 1, 2022.
2. The Board Meeting held by communication vote dated November 7, 2022.
3. Eight directors should present for voting and all of them are present actually.
4. The Meeting was regarded as abiding the relevant laws, administrative regulation,
department rules, normative documents as well as the Article of Association.

II. Deliberation of the Board Meeting
1. Report on the sale of some shares of Jingxue Insulation
It is agreed that the Company will sell 5.4 million shares of Jingxue Insulation by
agreement assignment before December 31, 2022. The Company's management is
authorized to handle specific matters.
Mr. Fan Wen, director of the Company, avoided voting due to potential conflict of
interest.
With 8 votes for, 0 vote against and 0 vote as abstention.
