Independent Opinion on the Changes of the Company
               Name and the Stock Abbreviations

In accordance with the Company Law of the People’s Republic of China, Guidance on
Establishing the Independent Director System in Listed Companies, and other laws,
regulations and normative documents, as well as the Articles of Association and
Independent Director System, we, as the independent directors of Hubei Sanonda Co.,
Ltd.(hereinafter referred to as “Company”), give our independent opinion on the
change of the company name and the stock abbreviations from the standpoint of
independent judgment:




(1) The name change unifies the name of the enterprises within the group and is in
line with the factual situation of the Company. The changes of the Company name
and stock abbreviations will benefit the business development of the Company.


(2) The Board of Directors has approved to submit the aforesaid changes for the
approval of shareholders. The procedures for the changes are in accordance with the
No. 11 Memorandum on Information Disclosure of Main Board Company (Company
Name Change). The changes meet the Company’s fundamental interests and will not
harm the interests of shareholders.


Therefore, the independent directors approve the changes of the Company name and
stock abbreviations, and agree to submit the changes for shareholders’ approval.
