                    Announcement on resignation of company director
The Company and all members of the BOD guarantee that the information disclosed is true, accurate and completed,
and that there are no false records, misleading statements or material omissions.


The Board of Directors of Wafangdian Bearing Co., LTD. (hereinafter referred to as the "Company") received the written
resignation report of Director Mr. Zhao Qingtao and Director Ms. Fang Bo on January 19, 2025. Due to work adjustment,
Mr. Zhao Qingtao applies to resign his position as a director of the Company and resign as a member of the Strategic
Development Committee of the Board of Directors of the Company. Ms. Fang Bo applied to resign her position as a
director of the company due to job adjustment. After resigning from the above positions, the two will no longer hold any
positions in the Company and its subsidiaries.
According to the Company Law of the People's Republic of China, the Rules for Listing Stocks on the Shenzhen Stock
Exchange, the Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 1 -
Standardized Operation of Listed Companies on the Main Board and the Articles of Association, the resignation of Mr.
Zhao Qingtao and Ms. Fang Bo has not caused the number of board members of the Company to fall below the legal
minimum number. It will not affect the normal operation of the Board. The resignation reports of Mr. Zhao Qingtao and
Ms. Fang Bo shall be effective as of the date of submission to the Board of Directors. Mr. Zhao Qingtao and Ms. Fang
Bo have no commitments that should be fulfilled but have not been fulfilled. The company will complete the by-election
of directors as soon as possible in accordance with relevant regulations.
As of the disclosure date of this announcement, Ms. Fang Bo directly holds 1,500 shares of the Company.
Subsequently, Ms. Fang Bo will manage her shares in strict accordance with the Rules for Listing Stocks on the Main
Board of the Shenzhen Stock Exchange, the Rules for the Management of Shares Held by Directors, Supervisors and
Senior Managers of Listed Companies and Their Changes, and the Guidelines for the Self-Regulation of Listed
Companies of the Shenzhen Stock Exchange No. 18 - Shareholders and Directors, Supervisors and Senior Managers
Reducing their Shares.

Mr. Zhao Qingtao and Ms. Fang Bo were diligent and responsible when they served as directors of the company, and
played an active role in the standardized operation and healthy development of the company. The Board would like to
express its sincere thanks to Mr. Zhao Qingtao and Ms. Fang Bo for their contributions during their tenure.
