    The Provisional Proposal Put Forward to the 2013 General Shareholders’
Meeting of China Fangda Group Co., Ltd. put forward by Huang Jupei and Wang
Xue on March 21, 2014 is believed that the shareholders' qualification of who put
forward the Provisional Proposal and the time of the Provisional Proposal they put
forward are both incompliant with laws, administration regulations and Articles of
Association of the Company by the Board of Directors. Therefore, the Board of
Directors of the Company decides not to submit the provisional proposal to the 2013
General Shareholders’ Meeting for review.
