its whole members of Board of Directors ensure that the public notice is real, accurate

serious misleading carried in this notice.

I. Calling of the Board Meeting
1. The notice on holding of the Board Meeting was served by written form on
September 2, 2022.
2. The Board Meeting held by communication vote dated September 8, 2022.
3. Nine directors should present for voting and all of them are present actually.
4. The Meeting was regarded as abiding the relevant laws, administrative regulation,
department rules, normative documents as well as the Article of Association.

II. Deliberation of the Board Meeting
1. Report on engaging in refinancing securities lending transactions
Agreed the Company to make no more than 4 million shares of Jingxue Insulation
stocks for engaging in refinancing securities lending transactions. Authorized the
Securities﹠Legal Affairs Department of the Company responsible for handling related
issues about the transactions according to the regulator and stock exchange.
With 9 votes for, 0 vote against and 0 vote as abstention.
2. Report on the sale of some shares of Jingxue Insulation
It is agreed that the Company will sell no more than 2.16 million shares of Jingxue
Insulation through the securities trading system of Shenzhen Stock Exchange by block
trading before November 30, 2022. The Company's management is authorized to
handle specific matters.
Mr. Fan Wen, director of the Company, avoided voting due to potential conflict of
interest.
With 8 votes for, 0 vote against and 0 vote as abstention.
