Bingshan Refrigeration & Heat Transfer Technologies Co., Ltd. (the “Company”) and
its whole members of Board of Directors ensure that the public notice is real, accurate
and complete, and there are no any important omissions, fictitious statements or serious
misleading carried in this notice.

Board of Directors of Bingshan Refrigeration & Heat Transfer Technologies Co., Ltd.
(the “Company”) received the resignations in written from Director Yin Xide and Mr.
Dono Shigeru on 8 April 2024. Due to a career moves, they are expected to stand down
in the Company after resign.
In line with relevant regulation of “Company Law” and “Article of Association”,
members of the Board are not less than the statutory minimum due to resignations of
Mr. Yin Xide and Mr. Dono Shigeru, and the resignations go into effect from the date
of such resignation deliver to the Board.
Board of the Company sincerely thanks for Mr. Yin Xide and Mr. Dono Shigeru in their
terms of office, and by-election for the directors will complete as soon as possible under
the legal procedure.
Up to the date for this notice released, Mr. Yin Xide held 90,080 shares of the Company.
Mr. Dono Shigeru held no share of the Company.
