Announcement on the completion of transfer registration for the transfer of part

       of the Company's shares by agreement by the controlling shareholder



     The members of the Board and the Company acknowledge being responsible for the

truthfulness, accuracy, and completeness of the announcement. Not any false record, misleading

statement or significant omission carried in this announcement.


     I. The basic info of the transfer by agreement

     Hangzhou Steam Turbine Holdings Co., Ltd. (hereinafter referred to as " Steam Turbine

Holding"), the controlling shareholder of Hangzhou Steam Turbine Power Group Co., Ltd.

(hereinafter referred to as "the Company"), and Hangzhou Qitong Equity Investment Partnership

(limited partnership) (hereinafter referred to as "Hangzhou Qitong") signed a conditionally

effective Share Transfer Agreement on April 3, 2023, and Hangzhou Qitong acquired 49,008,999

unlisted circulating shares of the Company held by Turbine Holding through the agreement by

public solicitation and transfer (accounting for 5% of the total share capital of the Company).

     For details, please refer to the "Announcement on the Progress of the Transfer of the

Company's Shares by the Controlling Shareholder through Public Solicitation for Transfer Namely

the Signing of the Share Transfer Agreement" (Announcement No.:2023-32) disclosed by the

Company in Shanghai Securities News, Securities Times, Hong Kong Commercial Daily and

Cninfo Information Network (www.cninfo.com.cn) on April 4, 2023, and the "Supplementary

Announcement on the Content of the Simplified Report on Change in the Equity of the Share

Transfer Transferee" disclosed by the Company on April 13, 2023(Announcement No.:2023-33).

     II. Registration of shares transferred by agreement

     On June 5, 2023, the Company received the Confirmation of Securities Transfer Registration

issued by China Securities Depository and Clearing Co., Ltd, and the 49,008,999 non-tradable

shares (accounting for 5% of the total share capital of the Company) held by Steam Turbine
Holdings have been transferred and registered under the name of Hangzhou Qitong, and the

settlement date is June 5, 2023.

     Before and after the completion of the share transfer registration, the changes in the

shareholdings of both parties are as follows:

     After the completion of this public solicitation and transfer, Steam Turbine Holdings remains

the controlling shareholder of the Company, and the State-owned Assets Supervision and

Administration Commission of Hangzhou Municipal People's Government remains the actual

controller of the listed company.
